格隆汇9月12日丨东吴水泥(00695.HK)公告，公司董事会已获Goldview Development Limited(本公司之一名控股股东，由非执行董事蒋学明先生全资拥有)告知，于2025年9月12日，Goldview已订立以下买卖协议，以出售公司股份：(i)与港航集团(香港)投资有限公司订立买卖协议，Goldview以代价合共人民币2.85亿元向港航香港出售1.54亿股股份，占本公告日期已发行股份的28%；及2(ii)与苏州汾源资本管理有限公司，连同港航香港，统称为“收购方”)订立买卖协议，Goldview以代价合共人民币9180万元向汾源资本(或其代名人)出售4968万股股份，占本公告日期已发行股份的9%。于建议交易完成前及于本公告日期，Goldview于2.98亿股股份(占于本公告日期已发行股份约53.89%)中拥有实益权益。
