Performance Food Group and U.S. Foods Holding Explore Merger in Clean Team Agreement

Performance Food Group and U.S. Foods Holding entered a clean-team agreement to share information and evaluate regulatory considerations related to a potential business combination.

The two food service distributors have discussed how they could most effectively explore a potential combination, and are now working with a group of lawyers, economists and consultants, Richmond, Va.-based Performance Food said Tuesday.

U.S. Foods, based in Rosemont, Ill., said it was pleased with Performance Foods' willingness to engage in the effort.

Both companies said they don't plan to comment on the matter again unless a definitive agreement is reached. There is no assurance that the clean team process will result in a transaction proposal, they said.
