智通财经APP获悉，赢家时尚与德林控股就RWA代币化计划订立战略合作及投资协议。截至发稿，赢家时尚(03709)涨20.88%，报9.67港元；德林控股(01709)涨5.14%，报3.68港元。

消息面上，德林控股及赢家时尚联合公布，于2025年9月12日，赢家与德林控股订立战略合作及投资协议，德林控股有条件同意于完成日期按认购价认购认购股份，而赢家有条件同意按认购价配发及发行认购股份；及德林控股与赢家已根据战略合作就RWA代币化计划达成整体框架及方向共识。

认购股份相当于本联合公告日期赢家现有已发行股本约0.65%以及经配发及发行认购股份扩大后赢家已发行股本约0.65%。

认购事项所得款项总额将为2990万港元，而认购事项所得款项净额(扣除订立战略合作及投资协议及相关文件的所有适用成本及开支后)估计为2960万港元。赢家拟将认购事项所得款项净额用作一般营运资金。

根据战略合作，赢家及德林控股同意将赢家用于分配予赢家股东的部分可分配溢利进行代币化的框架，其金额将基于赢家旗下主要品牌NEXY.CO于截至2025年12月31日止财政年度经审核收益的10%计算。各方将协商最终协议，并于必要时刊发进一步公告。
