智通财经APP获悉，第九城市(NCTY.US)周五宣布，其全资子公司上海第九城市信息技术有限公司已与上海中顺恒芯网络科技有限公司(“中顺”)达成最终协议，收购中顺全资子公司上海中芯顺网络科技有限公司(“合资公司”)51%的股权。
中顺将向合资公司注入其两款自主研发的手游的独家版权：《奥特曼：超时空英雄》和《荣耀全明星》。
合资公司所有税后利润将按合资各方持股比例每季度进行分红。合资公司51%股权的对价包括6900万人民币(约合970万美元)及价值4600万人民币(约合650万美元)的九城限制性股票。现金及限制性股票支付均以分期付款方式支付，并须根据中顺承诺的未来三年合资公司实际实现的利润情况支付。
