　　辉煌明天（01351）及要约人Swift Ascent Limited联合公布，于2025年9月15日，要约人完成收购约3.22亿股公司股份，相当于于本联合公告日期公司已发行股本总数的约53.65%，总现金代价为8047.44万港元（相当于每股销售股份0.25港元）。

　　紧随完成后及于本联合公告日期，要约人、姜欢洋女士及彼等任何一方的一致行动人士于约3.22亿股股份中拥有权益，相当于公司已发行股本总数的约53.65%。因此，根据收购守则规则26.1，要约人须就所有已发行股份（要约人及其一致行动人士已拥有或同意将予收购的股份除外）作出强制性无条件现金要约。每股要约股份的要约价为现金0.25港元，较股份于2025年9月12日（即最后交易日）在联交所所报收市价每股0.425港元折让约41.18%。

　　要约结束后，要约人有意令集团继续进行集团的主要业务，并维持公司的上市地位。

　　此外，公司已向联交所申请股份于9月18日上午九时正起于联交所恢复买卖。

　　据悉，要约人由姜欢洋女士全资拥有。
