智通财经APP讯，东风集团股份(00489)发布公告，于2025年9月17日，公司、东风汽车有限公司(为公司共同控制实体及被视为公司的附属公司)、襄阳控股及襄高投资订立投资协议，据此，订约方将通过出资方式共同成立合资公司。
合资公司的注册资本为人民币84.7亿元，其中，公司及东风汽车有限公司将分别以无形资产使用权及实物方式出资人民币35.5亿元及人民币9.2亿元，分别占合资公司的注册资本约41.9%及10.9%;襄阳控股及襄高投资将分别以现金方式出资人民币28.8亿元及人民币11.2亿元，分别占合资公司的注册资本34%及13.2%。
预计合资公司主要从事智能越野车辆的制造与销售。
订约方拟合作开发及销售智能汽车。合资公司的成立将使订约方在汽车生产及销售方面的财务资源、研发专长及制造能力得到整合。
