智通财经APP讯，中油洁能控股(01759)发布公告，兹提述证券及期货事务监察委员会(证监会)于2025年9月19日发出的声明(证监会声明)。证监会声明指出，证监会已展开法律程序，寻求针对百能国际能源控股有限公司(前称中油港燃能源集团控股有限公司，中油港燃能源)四名前董事颁布取消资格令，其中包括本公司独立非执行董事郑健鹏博士(于有关期间，彼为中油港燃能源的执行董事、首席财务官及公司秘书)。证监会在寻求颁布取消资格令时指称，该等前董事未能妥善监督位于中国境内的主要经营附属公司，亦未有以该公司的最佳利益行事。彼等长期缺乏监督，导致该等经营附属公司不再纳入合并财务报表范围，并造成重大财务损失。
郑博士已知悉证监会声明，并将全力维护其权利。然而，彼认为辞任本公司独立非执行董事一职符合本公司的最佳利益，有关辞任自2025年9月19日起生效(辞任)。
紧随辞任后，自2025年9月19日起，郑博士亦不再担任本公司审核委员会(审核委员会)、薪酬委员会(薪酬委员会)及提名委员会(提名委员会)的成员。执行董事姬玲女士已获委任为薪酬委员会及提名委员会的成员，自2025年9月19日起生效。
