智通财经APP讯，百能国际能源(08132)发布公告，于2025年9月19日，证券及期货事务监察委员会(证监会)正就根据《证券及期货条例》第214条提起的法律程序，向香港特别行政区高等法院原讼法庭申请对四名前董事发出取消资格令。
证监会对公司失去对中国内地四家主要营运附属公司的控制权进行调查后采取上述行动。该等营运附属公司已于2019年1月1日起不再从该公司综合入帐，导致该该公司至2019年3月31日止年度亏损约1.84亿港元。
证监会指称，涉事的前董事没有妥善监督该四家在内地的主要营运附属公司，亦没有以该公司的最佳利益行事。他们长时间疏于监督，最终致该无法再与该等营运附属公司综合入帐，因而取得庞大财务亏损。
此外，三名前董事也须对公司2014年发布的一份通函承担责任，该通函含有有其在在中国大陆的一家营运附属公司的不准确或具误致性资讯。
至本公告日期，据董事所知、所悉及所信，上述法律诉讼并未对公司及在附属公司的业务营运造成重大不利影响。
