智通财经APP讯，爱世纪集团(08507)及要约人三个苹果产业控股集团(香港)有限公司联合公布，于2025年9月5日，要约人完成向Giant Treasure Development Limited收购2.8亿股股份，占本联合公告日期本公司已发行股本的70%，现金代价3500万港元，相当于每股销售股份0.125港元。
紧随完成后及于本联合公告日期，要约人及其一致行动人士将于2.8亿股股份(占公司已发行股本总额的70%)中拥有权益。因此，根据收购守则规则26.1，要约人将须就全部已发行股份(要约人及其一致行动人士已拥有或同意收购者除外)提出强制性无条件现金要约。要约将向独立股东提出。要约价为每股要约股份0.125港元，较股份于2025年9月5日(即最后交易日)在联交所所报收市价每股0.1840港元折让约32.07%。
此外，公司已向联交所申请自2025年9月24日上午九时正起恢复股份在联交所GEM买卖。
据悉，要约人 的董事为吴奇峰先生。要约人由吴奇峰先生直接及实益拥有100%权益。
