
越秀地产(00123)发布公告,宣布于2025年9月26日与卖方及项目公司订立合作协议,买方(公司间接非全资附属公司)同意购买项目公司(杭州滨德房地产开发有限公司)的50.5%股权。交易完成后,买方和卖方将分别持有项目公司50.5%及49.5%的股权,双方提供的股东贷款比例也将相应调整。
此次收购的总代价为4.04亿元,预计利息为170万元,股东贷款预计为3.94亿元。该总金额是根据总土地出让金及项目公司资金的50.5%计算得出。卖方为项目公司的主要股东,因而此次交易构成公司的关联交易,需遵守相关的申报及公告规定,但可豁免独立股东批准的要求。
项目公司的主要业务为房地产发展及营运。项目公司由卖方特意为开发目标地块而新成立。目标地块位于中国杭州市余杭区,总地盘面积为36,496平方米,将发展作住宅用途。
