智通财经APP讯，天津港发展(03382)发布公告，于2025年9月25日，天津港股份公司(本公司的附属公司)与APM天津国际公司及PSA中国公司分别订立APM股权转让协议及PSA股权转让协议，天津港股份公司同意分别向 APM天津国际公司及PSA中国公司收购，而APM天津国际公司及PSA中国公司分别同意向天津港股份公司出售，彼等各自持有的联盟国际公司的20%股权(即联盟国际公司合共40%股权)，两者代价分别约为人民币3.62亿元，即总代价约为人民币7.23亿元。
收购事项完成后，本集团于联盟国际公司的权益将由60%增加至100%，而联盟国际公司将仍作为本公司的附属公司。
收购事项有利于推进智慧港口、绿色港口建设。本集团通过收购事项获得联盟国际公司的完全控制权，透过资源的灵活调配，推动集装箱业务专业化、规模化发展，提高其生产作业效能，有利于联盟国际公司的长期发展，并增加本集团在集装箱业务的整体竞争力，从而为本集团创造更大效益;另一方面，根据联盟国际公司过去五年的收益及盈利数据，预计完成收购事项后可增加股东应占溢利，为股东创造更好回报。
