智通财经APP讯，LHN(01730)发布公告，于2025年7月25日，本公司的附属公司Coliwoo Holdings Pte. Ltd.(CHPL)及Globalpoint Far East Pte. Ltd.(GPFE，连同CHPL统称为“卖方”)已与一名独立第三方买方订立一份不具约束力的条款清单(条款清单)：卖方将出售，而买方将购买Coliwoo PP Pte. Ltd.(Coliwoo PP)的10万股普通股(待售股份)，相当于Coliwoo PP全部已发行及缴足股份的100% ，代价将根据议定物业价值4390万新加坡元另加Coliwoo PP于交割日期的经调整资产净值计算(建议出售事项);及买方将促使及确保Coliwoo PP(作为业主)在建议出售事项完成时，与CHPL及/或其附属公司(作为租户)(主租户)订立总租赁协议，以供Coliwoo PP将位于404 Pasir Panjang Road, Singapore 118741的物业(该物业)租回予主租户(建议回租事项)。

于本公告日期，Coliwoo PP为CHPL直接拥有80%的附属公司，继而亦为本公司间接拥有80%的附属公司，而 GPFE则持有Coliwoo PP余下20%的权益。Coliwoo PP的已发行及缴足股本为10万新加坡元，由10万股普通股组成。

Coliwoo PP于新加坡注册成立，主要从事空间优化。Coliwoo PP为该物业的注册业主，该物业目前由Coliwoo PP管理及营运，作为Coliwoo Hotel Pasir Panjang(共居空间)。

倘建议出售事项完成，Coliwoo PP将不再为本集团的附属公司。
