智通财经APP讯，高升集团控股(01283)公布，于2025年9月30日，公司全资附属Ascend Group Holdings Limited拟向郑伟恒收购德恒建筑发展有限公司20%已发行股份，代价为2400万港元，将透过以下方式支付：(i)现金支付300万港元;及(ii)根据一般授权向卖方配发及发行入账列作缴足的代价股份的方式支付2100万港元，每股代价股份1.4港元，较股份于最后交易日在联交所所报的收市价每股1.38港元溢价约1.4%。
公告称，收购事项预期将进一步巩固集团于建筑业的地位。目标公司从事提供一般建筑服务(包括室内装饰、装修及改建与加建工程)逾六年。凭借目标公司丰富的经验及专业知识，收购事项将产生协同效应。透过结合集团稳固的客户网络(主要包括主要承包商及政府)，连同目标公司的经验、领域专长及专业人员，公司相信，收购事项将可加强其于上述行业的市场渗透及拓阔客户基础并为公司的客户提供更全面的服务。
