智通财经APP讯，GC CONSTRUCTION(01489)及要约人Jumbo Flags Capital Limited联合公布，2025年9月23日，要约人完成收购公司约7.29亿股股份，占本联合公告日期公司已发行股本总额约72.89%，总现金代价为约1.22亿港元(相当于每股销售股份约0.1680港元)。

紧随完成后及于本联合公告日期，要约人、其最终实益拥有人及彼等任何一方的一致行动人士合共拥有约7.29亿股股份，占公司已发行股本总额约72.89%。根据收购守则规则26.1，要约人因此须就全部已发行股份(要约人及其一致行动人士已拥有或同意将予收购的股份除外)提出强制性无条件现金要约。要约价为每股要约股份0.1812港元，较股份于2025年9月22日(即最后交易日)在联交所所报收市价每股0.3350港元折让约45.91%。

此外，公司已向联交所申请股份自2025年10月2日上午九时正起于联交所恢复买卖。

于本联合公告日期，要约人由Gan Kok En先生全资实益拥有。

要约截止后，要约人有意让集团继续经营其主营业务，并维持公司的上市地位。要约人将对集团的业务活动及资产进行检讨，以就集团的未来业务发展制定业务计划及策略。
