智通财经APP讯，千百度(01028)发布公告，于2025年9月29日，公司与买方Glens Hill Limited订立买卖协议，公司同意出售、买方已同意购买目标公司Toy Kingdom Hong Kong Limited的全部股本权益，而目标公司持有集团于玩具零售业务的全部权益。于完成后，公司将不再拥有目标集团或玩具零售业务的任何权益。
集团于2019年7月出售Hamleys Global Holdings Limited及其附属公司后，集团根据特许经营协议于中国以特许经营方式独家经营玩具零售业务，该业务对集团收入的重要性有限，自2020年至2024年期间每年占集团收入均不足6%。玩具零售业务于2021年及2022年处于亏损状态，其2023年及2024年的盈利(经计入本公司层面为支持玩具零售业务营运所产生的开支后)持续在盈亏平衡点上下波动，对集团的利润贡献有限。此外，鉴于目前的宏观经济环境，玩具零售业务的发展前景并不乐观。诚如公司日期为2020年6月30日的通函先前所披露，经考虑玩具零售业务对集团收入的重要性有限;玩具零售业务持续出现亏损;及集团打算专注于其鞋履零售及批发业务(特别是其线上销售渠道)，董事会计划在可预见的未来出售或终止玩具零售业务。
出售事项将减轻集团与目标集团的净负债状况相关的财务负担约人民币650万元，并提升集团的整体财务状况。董事相信出售事项将使公司专注于其核心鞋履业务，从而优化营运效率及支持本集团的长远策略目标。
