　　康希诺生物（06185）发布公告，董事会于2025年9月26日举行的董事会会议上议决建议（i）采纳2025年A股激励计划及建议根据2025年A股激励计划发行限制性股票；（ii）采纳2025年A股激励计划考核管理办法；（iii）授权董事会处理2025年A股激励计划相关事项；（iv）采纳2025年H股购股权计划；（v）授权董事会处理2025年H股购股权计划相关事项；（vi）建议根据2025年H股购股权计划授予H股购股权；及（vii）注销购回A股及减少注册资本，所有上述事项均须于临时股东大会上以特别决议案方式获股东批准（惟根据2025年H股购股权计划向朱涛博士、Shou Bai CHAO博士及Dongxu QIU博士授出H股购股权除外）。

　　公司将召开临时股东大会，以考虑及酌情批准（其中包括）（i）建议采纳2025年A股激励计划及根据2025年A股激励计划建议发行限制性股票；（ii）建议采纳2025年A股激励计划考核管理办法；（iii）建议授权董事会处理2025年A股激励计划相关事项；（iv）建议采纳2025年H股购股权计划；（v）建议授权董事会处理2025年H股购股权计划相关事项；（vi）建议向Xuefeng YU博士授予37.13万份H股购股权；及（vii）建议注销购回A股及减少注册资本。
