智通财经APP讯，基石科技控股(08391)发布公告，于2025年10月2日(交易时段后)，公司与配售代理订立配售协议，据此，公司已有条件同意透过配售代理按竭尽所能基准向不少于6名承配人(其及其实益拥有人须为独立第三方)配售最多1.27亿股配售股份，配售价为每股配售股份0.57港元。
假设自本公布日期起至完成日期，公司已发行股份总数并无变动(配售股份除外)，则最多1.27亿股配售股份相当于经配发及发行配售股份而扩大的公司已发行股本约11.41%。配售价0.57港元较配售协议日期于联交所所报每股收市价0.70港元折让约18.57%。
假设最高1.27亿股配售股份获悉数配售，配售事项所得款项总额及所得款项净额(经扣除所有适用成本及开支，包括佣金及征费)估计分别约为7239万港元及7006万港元。公司拟将配售事项所得款项净额其中约42.91%用作集团之一般营运资金;约37.11%用作集团的项目资本支出;约14.27%用作集团的融资成本;及约5.71%用作集团的市场推广及投资者关系费用。
