智通财经APP讯，新华联合投资(08159)发布公告，于2025年9月30日(交易时段后及2025年9月股东周年大会前)，公司与认购方中盛投资集团有限公司、吴俊先生及Alex M Vanderpol先生(均为独立第三方)订立认购协议，据此，认购方有条件同意认购，而公司有条件同意配发及发行合共1.41亿股认购股份，认购价为每股0.08港元。
假设公司已发行股本于本公告日期至配发及发行认购股份日期期间不会发生变化，认购股份相当于本公告日期已发行股份总数20%，及经配发及发行认购股份扩大后的已发行股份总数约16.66%。认购价为每股认购股份0.08港元，较于本公告日期在联交所所报每股股份0.092港元的收市价折让约13.04%。
第一认购协议完成后，公司将被视为已分批偿付结欠第一认购方集团的若干应付款项，金额约为566万港元。第二及第三认购协议筹得的所得款项总额将约为560万港元，而所得款项净额(经扣除相关开支后)将约为520万港元。公司拟将第二认购事项及第三认购事项的所有所得款项净额用作集团之营运资金以及偿还集团的借款及应付款项。
