智通财经APP讯，中国金融租赁(02312)发布公告，于2025年10月5日，认购人与公司订立认购协议，据此，认购人有条件同意认购，而公司有条件同意配发及发行6937.95万股认购股份，认购价为每股认购股份1.25港元。
于本公告日期，公司已发行3.47亿股股份。认购股份占：(i)于本公告日期已发行股份总数约20%;及(ii)经配发及发行认购股份扩大后已发行股份总数约16.67%，当中假设自本公告日期至完成日期公司已发行股本将无其他变动。
认购价每股认购股份1.25港元较股份于2025年10月3日(即紧接认购协议日期前的交易日)在联交所所报的收市价每股1.28港元折让约2.34%。
认购事项的预期所得款项总额及所得款项净额分别约为8672.44万港元及8647.44万港元。
