根据该公告所披露，加拿大汽车行业近年来面临重大挑战，以及集团的本田汽车代理业务毛利率不断萎缩。看到加拿大汽车零售市场整合的势头日益强劲，董事会因此决定退出本田汽车代理市场，并为该业务寻找潜在买家。
在实现该业务与该等物业的协同关系时，在双方进行的公平交易谈判过程中，买方(一个已从事一系列汽车代理业务的集团)对继续在该等物业上经营本田汽车代理业务表达了强烈兴趣。因此，董事会认为出售事项是一个好时机及策略性的机会，将该业务与该等物业捆绑出售予独立第三方买家，从而变现集团投资的价值。考虑到由于毛利率相对较小且不断萎缩，该业务的价值(于该公告中亦定义为商誉)相对较低，因此代价主要基于该等物业的价值确定，同时考虑到过往市场价值评估以及安大略省及加拿大宏观经济环境下的市场趋势而厘定。
出售事项完成后，集团已结束在加拿大营运该业务。
