智通财经APP讯，德商产投服务(02270)发布公告，于2025年10月10日(交易时段后)，绿色置业、邦泰跃尚与目标公司成都邦泰锦宸置业有限公司订立贷款协议。根据贷款协议，绿色置业及邦泰跃尚(作为贷款人)同意向目标公司提供本金总额不超过人民币3.2亿元股东贷款，期限自 2025年10月11日起为期一年。于股东贷款中，绿色置业提供的本金最高限额不得超过人民币1.6亿元，及邦泰跃尚提供的本金最高限额不得超过人民币1.6亿元。贷款协议项下拟提供的股东贷款属无担保。
向目标公司提供股东贷款有利于保障目标地块开发项目的顺利推进。因此，目标公司的各股东(即绿色置业和邦泰跃尚)均按持股比例提供同等条款及条件的资金支持。董事(包括独立非执行董事)认为，贷款协议的条款(包括利率)及其项下拟进行的交易均属公平合理，乃根据(其中包括)目标公司的实际需求及现行商业惯例，经公平磋商后厘定。基于上述原因，董事认为，尽管贷款协议项下拟进行的交易并非于集团日常及一般业务过程中进行，但贷款协议之条款及其项下拟进行的交易均属公平合理，按正常或更佳商业条款订立，符合公司及其股东的整体利益。
