近日，微创心通医疗科技有限公司（下文简称“心通医疗”，02160.HK）发布公告宣布，公司与微创心律管理有限公司（下文简称“微创心律管理”）已就业务整合达成协议。根据公告信息，心通医疗拟通过向微创心律管理的现有股东——包括母公司微创医疗（00853.HK）以及高瓴资本、云锋基金等投资机构定向增发新股的方式，按每股1.35港元的价格，收购微创心律管理的100%股权。标的公司估值为6.8亿美元。交易完成后，微创心律管理将成为心通医疗的间接全资子公司。
公告强调，这一整合标志着双方在全球心脏医疗领域的战略升级。通过将心律管理与结构性心脏病两大核心业务有机结合，旨在打造协同效应更显著、覆盖更全面的心血管治疗解决方案，实现资源优化配置与战略协同。
公告称，该项整合的最终实施还需满足一系列的交割先决条件，包括心通医疗独立股东审批等。
