康师傅控股（00322）发布公告，本公司于2025年10月9日与顶峰订立供应协议，涉及本集团将从顶峰采购马铃薯变性淀粉、木薯变性淀粉及调味品，协议年期为截至2028年12月31日止的三个财政年度。
由于顶峰由本公司董事会主席及执行董事魏宏名和魏宏丞的家庭成员及亲属实益拥有，因此该交易构成持续关联交易。根据供应协议，年度上限额为2026年1.65亿元，2027年1.85亿元，2028年2.1亿元。
此上限额的适用百分比率将超过0.1%但低于5%，因此需遵守上市规则第14A章的申报、年度审阅及公告规定，但豁免独立股东批准的要求。过去两年与顶峰的交易金额显示，2023年为4亿元，2024年为4.5亿元，实际采购金额分别为1.67亿元和1.52亿元。
