智通财经APP讯，广州农商银行(01551)发布公告，于2025年10月9日，董事会批准本次交易，据此，该行有条件同意出售所出售资产，同时，董事会提议提请在临时股东大会上寻求股东批准建议授权，并由董事会转授权其他相关人士共同或单独全权处理本次交易有关事项以使董事会及授权人士能够于授权有效期出售所出售资产。
本次出售资产为该行依法享有的债权资产，即该行持有的信贷资产(贷款)。与出售资产有关的权益、利益及义务，从中产生就应收款项的请求、要求、获取及接受的权利，任何债权还款的总金额以及与执行和体现出售资产的价值有关的权利及权力，均应从该行移交到买方。截至2025年6月30日，出售资产的本金金额约为人民币149.78亿元、相应利息金额合计约人民币38.97亿元、代垫司法费用金额合计约人民币0.51亿元，违约金合计约0.02亿元，债权金额合计约为人民币189.28亿元。
本次交易完成后，出售资产所有权将从该行转移到买方，该行收取相应现金代价。本次交易，将有效提升该行风险抵御能力，提高经营效率与盈利能力，同时优化该行业务结构和资产质量，为实现整体稳定运营及长期发展奠定基础。
