智通财经APP讯，宝龙地产(01238)发布公告，自先前重组计划于2025年2月失效以来，本公司继续积极与其财务顾问及计划债务债权人进行建设性对话，以制定整体解决方案处理计划债务的流动资金问题。
于2025年10月10日，本公司与特别小组成员订立重组支持协议，有关特别小组成员截至重组支持协议日期为计划债务未偿还本金总额约31%的持有人。
整体解决方案框架的要点如下：
(a)计划代价将由一个或多个不同选项组成，由计划债权人选择且可予调整(进一步详情载于重组支持协议条款书)，包括：
(i)现金(透过质押或出售宝龙商业股份筹集所得款项总额4000万美元融资);
(ii)向计划债权人转让宝龙商业股份(相当于不超过宝龙商业发行在外股份的32.4%);
(iii)可转换成本公司股份的强制可转换债券;
(iv)新中期票据;
(v)新长期票据;
(vi)新贷款;及
(b)现金同意费用，金额为参与债权人于同意费用截止日期所持有的符合条件的参与债务本金总额的0.15%。
