智通财经APP讯，吉星新能源(03395)发布公告，本公司已于2025年10月10日与认购人白天签订认购协议，本公司有条件同意按每股认购股份0.31港元的认购价配发及发行1116.16万股认购股份，而认购人亦有条件同意认购该等股份。
认购股份占扩大后公司已发行股本约1.81%，每股认购股份0.31港元的认购价较股份于2025年10月10日在联交所所报的收市价每股0.335港元折让约7.46%。
认购股份将根据一般授权配发及发行。认购事项的所得款项总额预计约为62万加元(相当于约346.01万港元)。扣除相关开支后，认购事项所得款项净额将约为60.16万加元(相当于约335.76万港元)。扣除所有相关开支后的净认购价预计约为每股认购股份0.301港元。本公司拟将认购事项所得款项净额用作一般营运资金。
董事相信完成认购事项将为本公司提供良机，既可筹集盈余资本，亦可巩固本公司财务状况。此外，董事相信认购事项将使本公司得以合理成本获取额外资金，以支持现有营运及进一步拓展现有与潜在业务及投资机会。
