智通财经APP讯，嘉利国际(01050)发布公告，于2025年10月13日(交易时段后)，公司与认购人(何焯辉先生)订立认购协议，据此，认购人有条件同意认购公司发行的本金额为1.5亿港元的可换股债券。
假设可换股债券按转换价每股转换股份2.30港元(可予调整)获悉数转换，则会配发及发行最多65,217,391股转换股份，相当于本公布日期本公司已发行股本约3.23%及公司经配发及发行转换股份扩大的已发行股本约3.13%。初步转换价为每股转换股份2.30港元较股份于2025年10月13日(即认购协议日期)在联交所所报收市价每股2.48港元折让约7.26%。
认购事项的所得款项总额及所得款项净额分别约为1.5亿港元及1.4975亿港元。公司拟动用所得款项净额透过多种方式以扩充海外产能，包括但不限于购买新机器、于泰国建设新生产厂房及于海外市场进行并购，以应付集团于海外市场不断增加的订单。
