10月17日，东吴水泥（00695）发布公告，宣布其将出售全资拥有的附属公司东方诚正稀土有限公司。根据买卖协议，出售的代价为1000万港元，较目标公司截至2025年6月30日的未经审计综合资产净值615万港元溢价约60%。
目标公司在过去两年的财务表现欠佳，2023年和2024年的税后亏损分别为915万港元和2777万港元，导致董事会决定出售该公司以改善整体财务表现。此次出售事项的完成需满足若干先决条件，包括获得股东特别大会议决批准。
公告中指出，出售后，目标公司将不再为公司附属公司，其财务业绩也将不再合并入公司的综合财务报表。预计出售将为公司带来约385万港元的收益，并用于公司的日常运营资金，特别是水泥业务的现金流。股东特别大会定于2025年12月5日召开，以审议该交易。
