智通财经APP讯，信利国际(00732)公布，于2025年10月22日，董事会议决透过产权交易所以公开投标方式提交投标收购仁寿产投所持信利仁寿的共计约11.43%股权，公司建议信利光电提交的投标总价不超过人民币10.5亿元。
于本公告日期，信利仁寿由信利光电持有约29.69%权益、由仁寿产投持有约64.29%权益及由仁寿集安一号有限合伙持有约6.02%权益。仁寿产投及仁寿集安一号有限合伙均为该集团的独立第三方。
公告称，仁寿产投转让目标公司的股权将透过两次独立公开招标的方式进行。无论于第一次投标中的投标是否中标，公司建议信利光电另行于第二次投标中再次提交投标，以收购目标公司另外约5.714%的股权。倘两次投标均中标，信利光电将共计收购目标公司约11.43%股权，其相当于信利仁寿注册资本总额人民币8亿元(相当于约8.76亿港元)。
自信利仁寿成立以来，随着其表现持续改善，公司逐步增持其股份。鉴于中国国有企业仁寿产投拟透过公开招标的方式退出于信利仁寿的部分投资，公司认为此举为集团提供进一步增持信利仁寿股权的良机。
