智通财经APP讯，IBI GROUP HLDGS(01547)发布公告，于2025年10月24日(交易时段后)，卖方(公司的间接全资附属公司IBI Group Limited)与买方(颜健松先生)订立购股协议，据此，卖方同意向买方出售销售股份(占目标公司Building Solutions Limited已发行股本的80%)，代价为150万港元。于本公告日期，买方持有目标公司的2000股普通股，占目标公司已发行股本的20%。完成后，目标公司将由买方全资拥有，而目标公司的财务业绩将不再并入集团综合财务报表。
销售股份包括目标公司的8000股普通股，即卖方于目标公司持有的全部股份，占目标公司已发行股本的80%。目标公司为一间于香港成立的有限公司，主要从事提供可提升建筑环境的表现及福祉的产品及服务，专注于改善工作空间的空气质素及提供现代可持续发展的建筑材料。
经考虑目标公司的财务表现以及其业务及营运状况后，董事会认为集团进行出售事项属适宜，以使集团可重新专注于其核心业务。出售事项将使集团精简其业务架构，并将资源集中于现有核心业务分部，从而提升营运效率并巩固其财务状况，以实现可持续增长。
