　　金力集团（03919）发布公告，于2025年10月24日，公司与认购人订立认购协议，认购人已有条件同意认购，而公司已有条件同意以认购价每股认购股份 1.00港元配发及发行合共648万股股份。认购股份将根据一般授权配发及发行。认购事项所得款项总额及所得款项净额将分别约为648万港元及640万港元。

　　假设公司已发行股本于本公告日期至完成期间并无任何变动，认购股份相当于公司于本公告日期现有已发行股本的20%；及经发行认购股份扩大后公司已发行股本约16.7%。

　　认购价较于2025年10月24日（即认购协议日期）股份在联交所所报收市价每股1.15港元折让约13.0%；及紧接认购协议日期前最后五个连续交易日股份在联交所所报平均收市价每股1.12港元折让约10.7%。
