智通财经APP讯，荣尊国际控股(01780)发布公告，董事会获金子博博士知会，根据配售协议的条款，所有3.72亿股配售股份(占本公告日期公司现有已发行股本的60%)，已由配售代理以每股0.446港元的价格成功配售予12名承配人，而此次私人配售项下的配售股份结算已于2025年10月28日进行。据配售代理告知，各承配人均已确认其独立于公司且与公司无关联。配售协议的一项条款是，任何承配人(连同与其一致行动的人士)在私人配售完成后即时，不得持有公司已发行股本总额的30%或以上，亦不得因而触发《公司收购及合并守则》第26.1条就公司股份作出强制性全面收购要约的责任。
于完成后，柳濑健一先生及金子博博士通过卖方持有9300万股股份，占公司已发行股本总额的15%。因此，柳濑健一先生、金子博博士及卖方均不再是本公司(按上市规则的定义)的控股股东。
