智通财经APP讯，创维集团(00751)发布公告，基于公司长期发展，集中资源发展核心业务，减少关联交易，规避同业竞争，创维数字股份有限公司(创维数字)全资子公司深圳创维数字拟以1.16亿元人民币的价格向创维集团有限公司(创维集团)转让其持有的蜂驰电子公司40%的股权(对应注册资本400万元人民币)，同时创维集团以其持有深圳安时达技术服务有限公司(安时达公司)的100%股权(对应注册资本3000万元人民币)评估作价1.04亿元人民币对蜂驰电子公司进行增资(对应注册资本为357.95万元人民币)。深圳创维数字拟放弃对蜂驰电子公司本次增资金额1.15亿元人民币的扩股优先认购权。
本次交易前，深圳创维数字持有蜂驰电子公司84%股权，本次出售股权暨增资扩股交割完成后，深圳创维数字持有的蜂驰电子公司股权预计将下降至32.40%(最后以实际工商登记所载为准)，蜂驰电子公司不再纳入公司合并报表范围。本次交易后，预计创维集团将持有蜂驰电子公司55.82%股权。
