智通财经APP讯，国家联合资源(00254)发布公告，于2025年10月27日，公司间接全资附属公司深圳市世纪创联资源技术服务有限公司(世纪创联)与韩智先生订立不具法律约束力的谅解备忘录。根据谅解备忘录，集团拟透过世纪创联向韩智先生收购深圳市玩美街区文化旅游有限公司(目标公司)不超过25%股权，最高代价为4200万港元，该代价将以集团内部资源拨付。
目标公司主要从事文化、体育、旅游、休闲及娱乐等领域的主题街区与公园营运。目前由韩智先生及凡小玲女士分别持有70%及30%股权。目标公司在深圳市福田区开设了一家3层的综合性游乐场，占地面积达7300平方米，拥有包括但不限于室内熘冰场、保龄球场等各种体育娱乐设施，电子游乐设施以及文体娱乐设施。
在当前消费经济复苏的大环境下，目标公司主营业务迎合了市场消费者对于文化娱乐、服务消费、年轻化社交等诸多需求，同时目标公司能够整合上下游制造商及服务商，打造泛娱乐社交游玩综合体并取得较好的市场认可度及行业知名度。董事会认为，在经济增速放缓的大环境下，消费类市场，尤其是针对年轻人及家庭类的消费娱乐市场将会一个较为稳健的业务板块，可以使得集团经营更加多元化。
