智通财经APP获悉，香港证监会在根据《证券及期货条例》第214条展开的法律程序中，寻求原讼法庭针对中国龙天集团有限公司(中国龙天，前称思嘉集团有限公司，01863)三名前董事颁布取消资格令。
名列证监会法律程序的三名中国龙天前董事分别为：前主席兼执行董事林生雄(男);两名前执行董事张宏旺(男)及黄万能(男)。
证监会在提起上述法律程序前，曾就中国龙天截至2011年12月31日及2012年6月30日的现金及现金等价物结余分别被夸大约人民币1.989亿元及人民币3.024亿元一事展开调查。 上述被夸大的金额分别占中国龙天在上述日期的资产净值约13.6%及19.9%。 因此，中国龙天截至2011年和2012年12月31日止年度的年报，及截至2012年6月30日止六个月的中期报告，均存在重大错误陈述，且未能如实反映该公司的状况。
证监会指称，涉事前董事容许或导致中国龙天在财务报表中夸大其现金及现金等价物，令其资产净值因而被夸大，以及未能致使或促使中国龙天及时、准确和完整地披露其时任核数师对被夸大的金额及其他审计违规事项的发现。
