智通财经APP讯，TL NATURAL GAS(08536)发布公告，于2025年11月3日，公司与华特动力(中国)有限公司(华特动力)及税阳订立谅解备忘录，内容有关建议成立合营企业，据此，订约方同意共同成立一家合营企业，以从事深圳超算力量数字科技有限公司与华特动力在全国范围内合作开发及部署的甲醇氢燃料电池离网供电系统及液冷式超级充电站(包括但不限于已投入运营及在建中的项目)的管理及营运业务。根据谅解备忘录，建议合营企业由公司持有51%权益、华特动力持有24.5%权益，以及税阳持有24.5%权益。相关经营计划及建议成立合营企业的更多详情，将于签立正式协议后作出公布。
集团主要于中国从事压缩天然气及液化天然气销售以及提供输送服务。董事认为，建议成立合营企业将使集团得以进入电力收费市场，从而为集团带来额外收入。
