智通财经APP讯，新丝路文旅(00472)发布公告，公司董事会接获新华联国际置地有限公司(新华联国际)(本公司的控股股东)以及北京铜官盈新文化旅游发展股份有限公司(于深圳证券交易所上市，000620.SZ)(盈新发展)的附属公司)通知，于2025年10月28日，新华联国际已订立一份协议(买卖协议)，以现金代价约1.49亿港元(相当于每股股份0.163港元)向中国农产品股份有限公司(中国农产品)出售9.14亿股本公司股份(股份)(出售事项)，占本公司已发行股本约28.50%。预计出售事项将于买卖协议签订日期起计30天内完成。

就董事作出一切合理查询后所知、所悉及所信，于本公告日期，中国农产品尚未开始营运，并由Shouguang Vegetable Research and Development in the Field of Basicand Advanced Agriculture–L.L.C–O.P.C.全资拥有。中国农产品及其最终实益拥有人均为独立于本公司及其关连人士(定义见上市规则)的第三方。中国农产品与新华联国际之间亦无任何过往业务或其他关系。

完成出售事项后，盈新发展透过新华联国际于本公司的持股权益将由17.57亿股股份(占本公司已发行股本54.79%)减少至8.43亿股股份(占本公司已发行股本约26.29%)，而中国农产品将成为本公司单一最大股东，持有9.14亿股股份，占本公司已发行股本约28.50%。

董事会预期，出售事项将不会对本集团的日常营运造成任何重大不利影响。
