智通财经APP讯，吉星新能源(03395)发布公告，于2025年10月31日(交易时段后)，本公司、吉星能源及柳永坦订立贷款资本化协议，据此各方有条件同意：(i)股东贷款383.82万加元将获悉数结清;及(ii)透过按发行价每股资本化股份0.30港元向柳永坦配发及发行2.1亿股资本化股份，以清偿债务中749.43万加元(相当于约41,662,719.59港元)。

资本化股份占本公司经配发及发行资本化股份扩大后已发行股本约25.73%(假设本公司于本公告日期与完成日期之间的已发行股本并无变动，惟配发及发行资本化股份除外)。发行价为每股资本化股份0.30港元较股份于2025年10月31日(即贷款资本化协议日期)在联交所所报的收市价每股 0.305港元折让约1.64%

本公司将向联交所上市委员会申请批准资本化股份于联交所上市及买卖。

贷款结算方案使本公司得以在不动用既有内部财务资源的情况下清偿现有负债，并可避免现金流出。完成后，本公司负债比率将降低，从而改善财务状况。诚如本公司2024年度报告所披露，持续进行的物业勘探及开发将需庞大额外资本投资，倘未能取得额外融资及╱或透过资产出售筹得其他资金，将导致该等具前景物业的开发延迟或搁置。贷款结算案为改善本公司财务状况提供契机，使本公司得以配合上述目标。
