　　大同集团（00544）发布公告，于2025年10月31日（交易时段后），本公司与认购人订立认购协议，据此，认购人已有条件同意认购，而本公司已有条件同意按每股认购股份2.00港元的认购价配发及发行合共1000万股认购股份。

　　认购股份占本公司经配发及发行认购股份扩大后的已发行股本的约22.31%。每股认购股份2.00港元的认购价较股份于2025年10月30日（即于紧接认购协议日期前的最后交易日）在联交所所报的收市价每股2.05港元折让约2.44%。

　　认购股份将根据特别授权配发及发行，惟须待股东于股东特别大会上批准。本公司将向上市委员会申请批准认购股份上市及买卖。

　　认购的所得款项总额及所得款项净额分别为2000万港元及约1972万港元。于2025年6月30日，本集团的负债总额超出其资产总额约5955万港元。倘未能取得足够资金以履行其责任，此财务状况会令本集团面临流动资金风险。董事认为，认购将有助于降低本集团的资产负债比率，并提升本公司的整体财务稳定性。
