智通财经APP讯，京玖康疗(00648)发布公告，重组协议的所有先决条件均已满足，第一笔和第二笔贷款转换已于2025年11月11日同时完成。
紧随贷款转换完成前，本公司有3.26亿股已发行股份。因贷款转换而配发及发行的转换股份为18亿股。因此，于本公告日期，本公司已发行股份总数为21.26亿股。
为落实配售减持以确保本公司完全符合上市规则的公众持股量规定，本公司引入一名独立承配人(独立承配人)，本公司并与投资者及独立承配人共同订立协议，据此向投资者及独立承配人同时分别配发及发行15.93亿股转换股份及2.07亿股转换股份。据董事经作出一切合理查询后所深知、尽悉及确信，独立承配人为第三方，独立于本公司及其关连人士(定义见上市规则);及独立于投资者及其关连人士，且并非与投资者及HJ一致行动。
