智通财经APP讯，北京控股(00392)发布公告，于2025年11月12日，本公司全资附属公司北京燃气作为买方，与本公司最终控股股东北控集团的全资附属公司北燃实业作为卖方，签订股权收购合同，北京燃气同意收购北燃实业持有的北京北燃特种设备检验检测有限公司 100%股权。股权收购的交易代价为人民币5460万元(交易代价)，于目标公司完成产权变更后的15个工作日内一次性以现金支付，资金来自北京燃气自有资金。
股权收购符合北京燃气发展规划中“高标准做好燃气管线的安全运营工作，保障城燃业务安全运行”的总体要求，可提升北京燃气管网的安全管理力度与运营效率，形成企业内部协同效应。
随着天然气管网使用年限的增加，检验检测业务需求日益增长，增加特种设备检验检测业务资质，可扩大北京燃气天然气产业链布局，对公司长期稳定发展有重要意义。
股权收购后，北京燃气可充分发挥在燃气行业的地位和资源，促进目标公司拓展市场。借助丰富的企业管理经验，制定有效的经营利润模式，对目标公司经营现状产生正向的引导，使其迈向企业化经营模式的正轨。减轻目标公司系统内转企改制单位过渡期的经营负担，形成目标公司体系内部的资源优化配置。
