智通财经APP讯，郑州银行(06196)发布公告，本次收购前，该行持有浚县郑银村镇银行股份有限公司(简称“浚县郑银村镇银行”)5100万股股份，持股比例为51%。该行拟以现金方式收购浚县郑银村镇银行其他股东持有的浚县郑银村镇银行股份(该等股东合计持有4900万股股份，合计持股比例为49%)，同时，该行将通过吸收合并方式将浚县郑银村镇银行改建为该行分支机构。该行将根据与浚县郑银村镇银行其他股东签署的股份收购协议向该等股东支付股份收购交易对价;对于未签署股份收购协议的浚县郑银村镇银行其他股东，该行将根据该行与浚县郑银村镇银行签署的吸收合并协议向该等股东支付吸收合并交易对价。
本次收购完成后，浚县郑银村镇银行的资产、负债、业务、人员及其他一切权利与义务将由该行承继;浚县郑银村镇银行将因被合并而解散，法人主体资格将予以注销。本次收购尚需取得监管机构批准后实施。
