　　昊海生物科技（06826）发布公告，于2025年11月7日，本公司的全资子公司上海昊海医药科技作为受让方与转让方张先生、深圳九思及深圳百纳订立股权转让补充协议，转让方同意向受让方出售目标公司（深圳市新产业眼科新技术有限公司）余下20%股权，对价为人民币7400万元。收购事项完成后，本集团将持有目标公司100%股权。

　　目标公司为一间于中国成立的有限公司，主要从事角膜塑形镜产品及人工晶状体产品的制造及销售，以及在中国大陆地区经销人工晶状体产品、眼科黏弹剂、青光眼手术用透明质酸钠凝胶等多个进口眼科产品。

　　本集团自2016年11月及2023年2月分别收购目标公司60%及20%股权后，致力稳步进军眼科高值耗材领域。经过多年整合及发展，本集团成为中国人工晶状体产品的领先制造商，而目标公司已成为本公司主要子公司之一。收购事项完成后，本集团于目标公司的股权将增加至100%，有利于提升目标公司的管理及运营效率，从而增强本集团眼科产品的市场竞争力。因此，董事相信，收购事项符合本集团发展需求及整体业务规划。
