　　泰锦控股（08321）发布公告，于2025年11月7日（交易时段后），公司（作为发行人）与独立第三方Blue Water Capital Management Limited （作为认购方）；及建泉融资有限公司（作为配售代理）（与公司及认购方统称为“订约方”）订立不具法律约束力的谅解备忘录。谅解备忘录载列（其中包括）（i）潜在认购方有意根据特别授权以每股股份0.2港元的价格认购公司1.6亿股新股份（相当于公司经扩大已发行股本约29.83%）； （ii）公司有意透过配售代理根据特别授权以每股股份0.2港元的价格配售1.3亿股新股份（相当于公司经扩大已发行股本约24.24%） ；及（iii）有意授予潜在认购方提名Michael Stockford先生为董事的权利。

　　谅解备忘录的条款及条件须待订约方进一步磋商及订立最终协议后，方可作实。董事认为，可能交易可加强集团的财务状况，并为其营运资金需求提供资金。可能认购事项及可能配售事项亦为扩大公司股东基础及资本基础的良机。此外，认购方（一间基金管理公司）作为股东，预期透过其顾问及资产管理专业知识，帮助集团实现业务多元化并分散投资风险。
