智通财经APP讯，上实城市开发(00563)发布公告，上实城开上海大健康管理(公司的全资附属公司)于2025年11月13日与上海华氏及上海凌风医疗订立股权转让协议，据此，上海华氏及上实城开上海大健康管理有条件同意出售而上海凌风医疗有条件同意购买有关股权，合共占目标公司上海上实医疗美容医院有限公司的49%，总代价为人民币7359.8万元。
于本公告日期，目标公司由上海凌风医疗、上海华氏及上实城开上海大健康管理分别拥有51%、30%及19%。集团于目标公司的19%间接权益，在公司综合财务报表中分类为于联营公司的投资。完成后，公司将不再拥有目标公司的任何权益，目标公司将由上海凌风医疗全资拥有。目标公司将不再为公司的联营公司。
集团将可通过出售事项回收并重新调配资本、精简投资组合，将资源集中于主营业务，从而提升营运效率及资本纪律。出售事项符合集团持续优化资产配置、改善现金流及聚焦核心业务发展的战略，有助支持集团实现长期可持续增长。
