11月14日，稻草熊娱乐（02125）发布公告，公司拟与爱奇艺续签多个框架协议，包括2026-2028年定制视听作品承制框架协议、分集类内容版权购买框架协议及版权许可框架协议。现有持续关联交易协议将于2025年12月31日到期，因此公司希望在股东特别大会上获得独立股东批准后，继续与爱奇艺进行相关交易。
根据公告，2026-2028年定制视听作品承制框架协议的服务期限自2026年1月1日起至2028年12月31日止。爱奇艺将向公司支付服务费，具体金额基于市场价和多种商业因素进行公平协商。
预计2026年、2027年和2028年，爱奇艺应付公司的费用总额分别为3.46亿元、3.34亿元及4.01亿元。分集类内容版权购买框架协议（稻草熊向爱奇艺支付授权费，2026-2028年年度上限分别为2.34亿元、2.14亿元、1.95亿元）和版权许可框架协议（爱奇艺向稻草熊支付许可费，年度上限分别为13.6亿元、17.9亿元、16.7亿元）的年限与上述承制协议一致。
公告还提到，公司将采取内部控制措施，确保新框架协议下的交易按照正常商业条款进行，且不低于独立第三方的条款。董事会认为，这些交易将符合公司的整体利益，并已成立独立董事委员会，以向独立股东提供建议。预计相关通函将在2025年12月9日前发放给股东。
