　　欢喜传媒（01003）发布公告，于2025年11月12日，公司与认购方订立股份认购协议的修订协议，据此，双方同意根据股份认购协议将予配发及发行的认购股份数目将由5.48亿股股份增加至7.28亿股股份。

　　认购股份相当于公司于本公告日期现有已发行股本约19.90%，并相当于经配发及发行认购股份扩大后的公司已发行股本约16.60%（假设自股份认购协议日期起至完成日期止，除悉数配发及发行认购股份外，公司的已发行股本概无变动）。

　　于2025年11月12日，公司与认股权证认购方订立认股权证认购协议的修订协议，据此，双方同意根据认股权证认购协议将发行的认股权证数目将由18.89亿份认股权证减少至7.31亿份认股权证。

　　当认股权证获悉数行使时，将发行最多7.31亿股认股权证股份，相当于公司于本公告日期现有已发行股本约20.00%；及经发行认股权证股份扩大后的公司已发行股本约16.67%（假设自认股权证认购协议日期起至交割日期止，除于悉数行使认股权证所附带的行使权时配发及发行认股权证股份外，公司的已发行股本概无其他变动）。

　　此外，公司已向联交所申请自2025年11月13日上午九时正起恢复股份在联交所买卖。
