智通财经APP讯，普冉股份(688766.SH)发布公告，2025年11月17日，公司与珠海诺亚长天存储技术有限公司(以下简称“标的公司”或“诺亚长天”)3名股东签署了《股权转让协议》，公司拟收购诺亚长天31%股权，交易金额合计人民币1.44亿元。本次交易完成后，公司对标的公司的持股比例将达到51%，实现对标的公司的控股，从而间接控股SkyHigh Memory Limited(以下简称“目标公司”或“SHM”)。
公告称，公司专注于NORFlash、EEPROM两类非易失性存储器芯片及基于存储芯片的衍生芯片的设计与销售，目标公司专注于提供高性能的2D NAND及衍生存储器(SLCNAND，eMMC，MCP)产品和解决方案。本次交易完成后，公司将取得标的公司控股权并间接控股目标公司，预计公司与目标公司将产生良好的业务协同效应。
