智通财经APP讯，中国派对文化(01532)发布公告，于2025年11月19日(交易时段后)，公司与买方福州百慧科技有限公司订立买卖协议，据此，公司同意出售而买方同意购入待售股权(即目标公司High Kelee Investment Holdings Limited全部股权)，总代价为人民币2050万元。紧随完成后，目标集团(目标公司及浙江珂莉)将不再为公司的附属公司，且目标集团的财务业绩不再与集团即将刊发的综合财务报表综合入账。
董事会已审阅目标集团的财务及营运业绩，该集团主要从事衣物清洁护理、个人清洁护理及家居清洁护理产品业务。鉴于个人卫生用品市场竞争加剧以及新冠疫情后需求逐渐恢复正常，董事会认为目标集团的业务前景仍然不明朗，可能需要持续的财务及管理资源投入。出售事项将使集团能够精简其业务结构，减少资源投入，并提升整体管理效率。董事会认为，出售事项为集团提供一个合适契机，使其能够自该业务中实现价值，并将资源重新分配至核心业务。
