智通财经APP讯，希教国际控股(01765)发布公告，于2025年11月16日，买方西安典振实业、卖方四川署瑞企业管理(本公司的全资附属公司)、目标公司西安倍诺思教育与买方担保人订立股权转让协议，卖方已有条件同意转让而买方已有条件同意以人民币1000万元的转让代价收购目标公司100%股权及其附属实体权益;及目标公司已有条件同意偿还借款。买方及买方担保人已同意就目标公司的还款责任提供不可撤回的连带担保。
目标公司主要从事教育管理及教育行业投资。出售事项完成后，目标公司将不再为本集团的附属公司，其财务业绩、资产及负债将不再并入本集团的综合财务报表。
近年来，国家先后出台多项政策，指导职业教育高质量发展，本集团院校面临较大办学投入压力。出售事项将更好地帮助本集团筹集资金，使本集团能够更好地调配财务资源，改善办学条件以满足现有院校基本办学、院校改扩建等需求。
本次出售事项有利于本公司回收部分资金以用于解决运营资金问题及减少投资负担。经考虑上述进行出售事项的理由及裨益后，董事认为股权转让协议的条款属公平合理，且出售事项符合本公司及其股东的整体利益。
